Toufic focuses on corporate transactional matters as well as Banking Finance, capital markets, venture investment and technology companies.

He has extensive experience in the banking, finance, capital markets, and venture investments industry. In his 19-year-long career, Toufic worked as a Partner at two leading Lebanese law firms, where he focused his practice on corporate finance and capital markets matters, particularly securities offerings, debt financing, joint ventures, as well as mergers & acquisitions. He has led major acquisitions in the banking, insurance, and technology sectors across the Middle East.

Toufic advises corporate, banking and hedge fund clients on their businesses, including the structuring and establishment of their investment schemes. Toufic is also known for his large client portfolio of technology companies mainly in the UAE and Lebanon.

Toufic Soudayha has consistently been a ranked lawyer at Chambers & Partners, IFLR, and Legal 500.

RELEVANT EXPERIENCE

  • Advising National Bank of Bahrain – KSA Branch in connection with the preparation of all Islamic and conventional banking documents and agreements.
  • Advising a KSA digital bank in connection with the drafting of the personal account terms, corporate account terms, microfinance terms and conditions, wakala etc.
  • Advised FFA Private Bank in connection with the preparation of its securities account forms including the general terms and conditions, KYC forms, fiduciary agreement, margin lending agreement, pledge of securities agreement, classification forms, etc.
  • Advising Emerging Investment Partners in connection with offering equity interests to investors for pooling and acquiring a stake in a leading regional manufacturing company, including drafting all transaction documents such as the Investment/Subscription Agreement, the Shareholders Agreement, the CEO Agreement, the Put/Call Option Agreements, and other undertakings.
